  19.                  SELLER'S AGREEMENT TO REPURCHASE

  28. BUYER, subject to the terms and conditions set forth herein:

  54. The BUYER may, on to SELLER, assign this repurchase right to any 
  55. party holding a security interest in the goods is granted, and if

  57. such option is exercised SELLER agrees not assert as against any 
  58. such bank, finance company or other secured party, any right of 
  59. set-off, recoupment or counterclaim which may now exist or 
  60. hereafter arise under or by virtue of any transaction between 
  61. SELLER and BUYER.

  64. SELLER shall not be obligated to repurchase any goods under this 
  65. contract unless and until it shall have been furnished assurances 
  66. which are in its opinion adequate to insure that the goods will 
  67. be delivered to SELLER free and clear of any and all liens, 
  68. encumbrances, security interests and other claims of third 
  69. parties to the goods.

  76. type as stated herein, unless prior to a shipment, the same is 
  77. cancelled by notice sent by the most expeditious means.
